Terms of Use

These Terms of Use ("Terms") govern your access to and use of the MRS. CERTIFIED™ platform, https://mogulredefinedsummit.com, the 2nd Annual Mogul REDEFINED Summit, the MY MRS. member app, and all related digital experiences operated by BE MOGUL® ("we," "us," or "our"). By creating an account, registering, purchasing a pass, or otherwise using the platform, you agree to these Terms and our Privacy Policy.

1. Eligibility

You must be at least 16 years old to use the platform. By using it you represent that you meet this requirement and that all information you provide is accurate and complete.

2. Accounts & Registration

You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. Registering for the Summit — free or paid — creates an account that grants access to the benefits associated with your pass tier.

3. Passes, Payments & Refunds

Paid passes (VIP, Speaker, Sponsor), magazine features (Mogul Feature, MRS Certified of the Month), scholarship contributions, and Hub subscriptions are processed through Base44 Payments. Prices are listed on the platform and confirmed at checkout.

• Subscriptions (e.g., Hub membership) renew automatically until canceled. You may cancel anytime; cancellation stops future billing but does not refund the current paid period.
• Magazine features are editorial products. Once the editorial process has begun, purchases are non-refundable.
• MRS Certified of the Month is application-based; the application fee, if any, is non-refundable, and approval is at our discretion.
• Free passes and coupon-based redemptions carry no monetary value.

4. Intellectual Property

The platform and all content on it — including the MRS. CERTIFIED™, MOGUL REDEFINED™, and BE MOGUL® trademarks, logos, course materials, workbooks, magazine articles, imagery, audio, video, software, and design — are owned by BE MOGUL® / MRS. CERTIFIED™ and protected by United States and international intellectual property laws.

• You may not copy, reproduce, republish, distribute, modify, or create derivative works from any platform content without our written permission.
• You may not use the MRS. CERTIFIED™, MOGUL REDEFINED™, or BE MOGUL® names, marks, or branding without prior written authorization.
• Content provided to members (workbooks, lessons, replays, resources) is licensed to you personally for non-commercial, individual use and may not be shared, resold, or redistributed.

5. Your Content & Submissions

You retain ownership of content you submit (vision letters, journal entries, community posts, speaker onboarding materials, sponsor assets, and magazine feature intake answers and photos). By submitting, you grant us a non-exclusive, royalty-free, worldwide license to use, reproduce, edit, display, and distribute that content to operate and promote the Summit, Magazine, and community. You represent that you own or have the rights to all content you submit and that it does not infringe any third party's rights.

6. Acceptable Use

You agree not to:

• Use the platform for any unlawful, harmful, fraudulent, or harassing purpose.
• Impersonate another person or misrepresent your affiliation.
• Attempt to gain unauthorized access to any part of the platform, another user's account, or our systems.
• Interfere with or disrupt the platform, including spamming, scraping, or uploading malware.
• Share your account access or resell platform content without authorization.

7. Affiliate Program

Affiliates earn commissions on qualifying referred purchases at the rate set in their account. Commissions are paid to the PayPal handle on file subject to our payout process and any cooldown period. We may suspend affiliates who violate these Terms or engage in fraudulent or abusive referral activity.

8. Third-Party Services & Links

The platform integrates with third-party services (payment, email, SMS, hosting, AI, and social platforms) and may link to external sites. We are not responsible for the practices or content of third parties. Zoom, Facebook, Telegram, and other named services are trademarks of their respective owners.

9. Disclaimers

The platform and all content are provided "as is" and "as available" without warranties of any kind, express or implied. We do not guarantee that the Summit, replays, courses, community, or any feature will be uninterrupted, error-free, or meet your expectations. Editorial and educational content is not professional financial, legal, medical, or psychological advice.

10. Limitation of Liability

To the maximum extent permitted by law, BE MOGUL® and its affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or data, arising out of or related to your use of (or inability to use) the platform, even if advised of the possibility of such damages. Our total liability for any claim shall not exceed the amount you paid us in the preceding twelve (12) months, or one hundred dollars ($100) if you have not made a purchase.

11. Indemnification

You agree to indemnify and hold us harmless from any claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising from your content, your violation of these Terms, or your misuse of the platform.

12. Termination

We may suspend or terminate your access at any time, with or without cause or notice, including for conduct we believe violates these Terms or is harmful to the platform or community. Upon termination, your license to use platform content ends immediately.

13. Governing Law

These Terms are governed by the laws of the State of California, United States, without regard to conflict-of-law principles. You consent to the exclusive jurisdiction of the courts located in Los Angeles County, California for any dispute arising from these Terms or the platform.

14. Changes to These Terms

We may update these Terms from time to time. We will post the revised version here with an updated effective date. Continued use of the platform after changes constitutes acceptance of the revised Terms.
